Welcome
These Terms of Service (“Terms”) govern your use of hanahouhi.co (the “Service”), operated by Hanahou (“Hanahou,” “we,” “us”). By creating an account, listing your business, sending an inquiry, booking a vendor, or otherwise using the Service, you agree to be bound by these Terms.
If you do not agree, do not use Hanahou. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.
Eligibility
You must be at least eighteen (18) years old and able to form a binding contract under applicable law to use Hanahou. By using the Service, you confirm that you meet these requirements.
Account responsibilities
You are responsible for the accuracy of the information you provide and for keeping your account credentials secure. You must promptly update any information that becomes inaccurate or outdated. You are responsible for all activity that takes place under your account.
Each person or business may maintain only one active vendor listing. Planners may maintain a single planner account. Notify us at hello@hanahouhi.co if you believe your account has been accessed without your permission.
Vendor responsibilities
Vendors are responsible for the accuracy of every detail of their listing — business name, contact information, pricing, packages, calendar availability, languages, service areas, and policies. You agree to:
- Provide accurate, current, and complete information at all times.
- Hold any required licenses (including a valid Hawaiʻi GET license if you operate a business subject to it) and only claim badges or credentials you actually hold.
- Respond to inquiries in good faith and within a reasonable timeframe.
- Honor confirmed bookings, including the scope, deposit, balance schedule, and event date you agreed to with the planner.
- Communicate promptly with planners if a cancellation, rescheduling, or change of scope becomes unavoidable.
- Comply with all applicable laws — tax, employment, safety, advertising, and any others that apply to your business.
Planner responsibilities
Planners agree to provide truthful information when sending inquiries, booking vendors, and submitting reviews. You acknowledge that bookings made through Hanahou are between you and the vendor directly. You are responsible for any payment, deposit, balance, or other obligation owed to the vendor according to the terms you agree to with them. Hanahou does not collect, hold, or process payments between vendors and planners.
Marketplace role and the limits of our involvement
Hanahou is a marketplace and discovery platform. We are not a party to the contracts that vendors and planners enter into through the Service, nor are we the employer, agent, or partner of any vendor listed on the platform. Vendors are independent businesses operating on their own.
Hanahou does not provide the goods or services that vendors offer, does not guarantee the quality, safety, or legality of those goods or services, does not process payments for bookings, does not hold deposits or balances in escrow, and does not act as a guarantor of vendor performance or planner payment. Any dispute, refund, deposit return, scope change, or contract enforcement is between the vendor and the planner.
We make commercially reasonable efforts to verify information vendors provide and to remove listings that violate our policies, but we make no representations or warranties about any specific vendor or any specific transaction.
Subscriptions and billing
Listing your business as a Basic vendor is free. Pro ($10 per month) and Premium ($30 per month) tiers are paid subscriptions, billed monthly through Stripe. By subscribing, you authorize us, through Stripe, to charge your payment method on a recurring monthly basis until you cancel.
Subscriptions auto-renew at the end of each monthly billing cycle until canceled. You may cancel at any time through your Stripe customer portal or by emailing hello@hanahouhi.co. Cancellation stops future charges; we do not prorate or refund partial months. Your tier benefits remain in place through the end of the current paid period.
Founding-vendor offer: vendors who join during our founding cohort receive six months of Pro on us via the FOUNDING-100 promotion code, applied at checkout through Stripe. After the six-month promotional period, the standard Pro rate applies unless you change tiers. Founding cohort members retain a permanent “Founding” badge on their profile per our launch commitment.
We may change subscription pricing at our discretion. We will give you at least thirty (30) days’ notice by email before any price change takes effect. You may cancel before the change takes effect if you do not agree.
Reviews and moderation
Planners may submit reviews of vendors after a booking is completed. Reviews are intended to reflect honest, first-hand experiences. We reserve the right to remove reviews that we determine, in good faith, to be defamatory, fraudulent, off-topic, harassing, or otherwise in violation of these Terms.
New reviews enter a twenty-four (24) hour grace window before being published, during which the vendor may flag a review for our review. Flagged reviews are triaged manually by our team. Removal decisions are at our discretion and are intended to balance honest planner expression with vendor protection from defamation. We do not remove reviews simply because a vendor disagrees with the rating.
Vendors may post one inline response to each published review. Responses must be civil and on topic; we may remove responses that violate these Terms.
Prohibited conduct
You agree not to use the Service to:
- Engage in fraud, deception, or impersonation of any person or business.
- Submit false, misleading, or paid-for reviews, or solicit reviews from non-customers.
- Harass, threaten, intimidate, or discriminate against any user.
- Scrape, crawl, or programmatically extract content from the Service without our written permission.
- Reverse-engineer, attempt to discover source code, or interfere with the operation of the Service.
- Circumvent the tier system or attempt to access features you have not paid for.
- Upload content that infringes intellectual property, violates someone’s privacy, or violates applicable law.
- Use the Service to send unsolicited commercial messages outside of the inquiry and booking workflow.
Content, ownership, and license
You retain ownership of the content you submit — vendor profile copy, packages, photographs, reviews, and messages. By submitting content, you grant Hanahou a worldwide, non-exclusive, royalty-free license to host, display, reproduce, adapt for display purposes, and distribute that content as part of operating and promoting the Service. This license ends when you delete the content, except where it has already been incorporated into bookings, reviews, or other shared records that other users rely on.
Hanahou owns the Service itself — the design, code, branding, copy, and underlying systems. You may not copy, modify, or create derivative works of the Service without our written permission.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT VENDORS LISTED ON THE SERVICE WILL PERFORM AS DESCRIBED.
We do not endorse any vendor and do not vouch for the quality, safety, legality, or suitability of vendor services. Planners are responsible for their own due diligence before contracting with a vendor.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HANAHOU AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total cumulative liability to you for any claim arising out of or relating to the Service or these Terms is limited to the greater of (a) the total fees you paid to Hanahou in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Indemnification
You agree to indemnify, defend, and hold harmless Hanahou and its officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, including intellectual property or privacy, or (d) any dispute between you and another user of the Service, including any vendor or planner you connect with through Hanahou.
Termination
You may stop using Hanahou at any time. To delete your account or remove your listing, email hello@hanahouhi.co.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, if your continued use poses a risk to other users, or for any other reason in our reasonable discretion. Sections of these Terms that by their nature should survive termination — including content licenses, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Hawaiʻi, without regard to conflict-of-laws principles. The federal and state courts located in Honolulu, Hawaiʻi have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts.
Before filing a formal claim, you agree to first contact us at hello@hanahouhi.co and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
Changes to these Terms
We may revise these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and provide reasonable notice — by email, an on-site banner, or both — at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of the new Terms constitutes acceptance.
General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hanahou regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent; we may assign them without restriction in connection with a merger, acquisition, or sale of assets.
